These Terms of Service ("Terms") govern your access to and use of the AttorneyChiro platform and services ("Services"). By creating an account or using our Services, you agree to be bound by these Terms. Please read them carefully.
By accessing or using AttorneyChiro, you represent that you are at least 18 years old, have the legal authority to enter into these Terms on behalf of yourself or your organization, and agree to comply with all applicable laws and regulations.
AttorneyChiro provides a software platform that facilitates referral management, case documentation, and communication between personal injury law firms and chiropractic clinics. We are a technology platform and do not provide legal, medical, or billing advice.
You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately of any unauthorized access to your account. You are responsible for all activities that occur under your account.
We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or compromise the security of other users.
You agree not to:
Users who are covered entities or business associates under HIPAA must execute a Business Associate Agreement (BAA) with AttorneyChiro before transmitting any protected health information (PHI). It is your responsibility to ensure that your use of the platform complies with HIPAA and any other applicable healthcare regulations in your jurisdiction.
All content, features, and functionality of the AttorneyChiro platform — including but not limited to text, graphics, logos, and software — are owned by AttorneyChiro or its licensors and are protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.
You retain ownership of all data and content you upload to the platform. By uploading content, you grant us a limited license to store, process, and transmit that content solely to provide the Services.
Subscription fees, if applicable, are described in your order form or on our pricing page. Fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or explicitly stated in a written agreement with us.
We reserve the right to change our pricing with 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.
Each party agrees to keep the other party's confidential information — including patient data, business plans, and technical details — strictly confidential and to use it only to perform obligations under these Terms. This obligation survives termination.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
We are not responsible for the accuracy or completeness of any medical, legal, or billing information entered by users.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATTORNEYCHIRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless AttorneyChiro and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.
These Terms remain in effect while you use the Services. Either party may terminate the relationship at any time. Upon termination, your right to access the platform ceases. Sections 6, 8, 9, 10, 11, and 13 survive termination.
These Terms are governed by the laws of the State of Maryland, without regard to conflict-of-law principles. Any dispute arising from these Terms shall be resolved by binding arbitration in Maryland, except that either party may seek injunctive relief in any court of competent jurisdiction.
We may modify these Terms at any time. We will notify you of material changes via email or prominent notice on the platform. Continued use after the effective date of changes constitutes acceptance.
